Terms of Service

1. Acceptance of Terms

By accessing or using Aegis ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Aegis ("Company," "we," "us," or "our").

2. Description of Service

Aegis is a holding company command center that provides tools for entity management, compliance tracking, asset registry, real estate portfolio management, team collaboration, and financial reporting. The Service is provided on a subscription basis with multiple tiers: Starter ($49/month), Growth ($149/month), and Pro ($349/month).

3. Account Registration and Security

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

4. Subscription and Billing

Subscriptions are billed monthly or annually in advance. Annual subscriptions receive approximately a 20% discount. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

We reserve the right to change our pricing with 30 days' written notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

New accounts may be eligible for a 14-day free trial of the Growth plan features. No credit card is required during the trial period. After the trial expires, you will be prompted to select a paid plan to continue accessing gated features.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit material that infringes on third-party intellectual property rights
  • Resell, sublicense, or otherwise commercially exploit the Service without our written consent
  • Use automated tools to scrape, crawl, or extract data from the Service

6. Data Ownership and Privacy

You retain all ownership rights to the data you upload to the Service ("Your Data"). By uploading data, you grant us a limited, non-exclusive license to process and store Your Data solely for the purpose of providing the Service to you.

We will not sell, share, or disclose Your Data to third parties except as required by law, as necessary to provide the Service (e.g., cloud storage providers), or as described in our Privacy Policy.

Upon termination of your account, you may request deletion of Your Data within 30 days. We will retain anonymized, aggregated data for product improvement purposes.

7. Intellectual Property

The Service, including its software, design, features, and content (excluding Your Data), is owned by the Company and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.

8. Third-Party Integrations

The Service integrates with third-party services including QuickBooks (Intuit Inc.) and Stripe (Stripe, Inc.). Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the availability, accuracy, or security of third-party services.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. The Service is not a substitute for professional legal, financial, or accounting advice.

Compliance deadlines, filing dates, and regulatory information provided by the Service are for informational purposes only and may not reflect the most current requirements. You are solely responsible for verifying compliance obligations with qualified professionals.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may cancel your subscription at any time through the Settings → Billing page. Cancellation takes effect at the end of the current billing period. We reserve the right to suspend or terminate your account immediately for violation of these Terms, with or without notice.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
